Beryl soaks Fla., Ga; thousands lose power

Tropical depression Beryl is drenching parts of Florida and Georgia. The Weather Channel's Mike Seidel reports.

Updated at?1:39 p.m. ET: The remains of Tropical Storm Beryl soaked beach vacations and some Memorial Day remembrance services in southern Georgia and northern Florida on Monday and knocked out power to tens of thousands, though emergency officials said it hasn't brought any major damage.

The storm made landfall just after midnight Monday near Jacksonville Beach in Florida with near-hurricane-strength winds of 70 mph (113 kph), according to the National Hurricane Center. Sustained winds had died down to about 35 mph (55 kph), leading forecasters to downgrade the storm to a tropical depression and cancel all warnings and watches less than 11 hours after it made land.

Joyce Connolly, of Hurricane, W.Va., a doctor of theology, came to Jacksonville Beach for the holiday and the Jacksonville Theological Seminary's graduation. Connolly said she and her daughters had watched the weather forecasts about Beryl, but thought they would be OK.

"It definitely changed our vacation to unfortunate circumstances that we're not happy with, but you just have to live with it," Connolly said. On Sunday, she said they "actually walked over here on the little walkway, the boardwalk, and the wind was just too bad."

Jacksonville Mayor Alvin Brown asked people to stay indoors and safe.?"We don't want anyone going out, riding around, because it's still dangerous out there," Brown said at a Monday morning briefing, according to News4Jax.com. "This is going to be with us for a while."

Though high winds were no longer a factor by late Monday morning, steady rain was expected to continue through Monday night along the I-75 corridor, Weather Channel meteorologist Tom Moore said. Strong thunderstorms were expected to develop in central Florida and continue back into southeast Georgia. Localized flooding will continue, Moore said.

Seven hundred people were treated for heat symptom's at Sunday's Indianapolis 500. The Weather Channel's Mike Cantore reports.

Bands of rain sprayed Georgia's 100-mile coast, where veterans groups braved the weather as they marched ahead with traditional graveside observances for Memorial Day. At Savannah's historic Bonaventure Cemetery, where a plot reserved for veterans had small American flags at each tombstone, the downpour paused just as a crowd of about 100 starting arriving.

"When we were setting up, I had a different shirt on and I got soaked to the skin. My socks and my underwear probably are, too," said Jim Grismer, commander of American Legion Post 135 in Savannah. "I had so many people trying to talk me into moving it inside. But I said then you can't have the live firing salute and the flag raising."

Robert Schulz, an 80-year-old former Marine who served in the Korean War, held a folded umbrella in one hand as he saluted with the other during the service. Schulz said he and his wife briefly considered skipping the ceremony for the first time in 10 years.

"I said it would be terrible if nobody showed up," Barbara Schulz said. "We had to come for our veterans."

Except for ruining holiday plans, the rain was welcome on the Georgia coast, which has been parched by persistent drought. In McIntosh County south of Savannah, emergency management chief Ray Parker said a few roadways had been flooded for a brief time but the ground was quickly soaking up the 1 to 2 inches of rainfall that had fallen so far.

"We've needed it for a long time," said Parker, who said the worst damage in his county had been caused by trees falling on two homes overnight. "We were lucky that we didn't get 3 to 4 inches in 30 minutes. Most of it soaked right in before it had a chance to run off. It fell on an empty sponge."

A frontal system coming south from the Great Lakes is expected to push weakened Beryl into the Atlantic Ocean later in the week. Georgia Power reported about 2,900 people were without power Monday morning. Jacksonville city officials say 20,000 were without power and bus service was canceled because of so many flooded roads, downed power lines and trees.

Streets in Jacksonville Beach were unusually vacant. Bands of blinding rain alternated with dry conditions.

Taylor Anderson, captain of Jacksonville Beaches' American Red Cross Volunteer Lifesaving Corps, said he was coordinating safety procedures with local government officials. The beach was closed, but before it was on Sunday, lifeguards over and over again had to warn people to get out of the water, he said.

"Now that the storm's finally onshore and people can see that it's so dangerous and the winds and the current are up, people are lot more hesitant to go in, more so than yesterday," Anderson said.

The weather system also would likely complicate things for returning holiday travelers, some of whom had to scrap their beach and camping trips early because of the weather. Cumberland Island National Seashore off the Georgia coast will be closed at least through Tuesday and park Superintendent Fred Boyles said campers were asked to leave the area Sunday. He said the park does not seem to have serious damage.

In northeast Florida, several Memorial Day events were canceled, including one honoring veterans at the St. Augustine National Cemetery and a parade in Palatka.

"I don't mean to sound mushy, but today is Memorial Day and I hate that it ruined some plans," said Glynn County, Ga., emergency management director Jay Wiggins. "But that's just the nature of the weather." His county between Savannah and Jacksonville also had some downed trees and power outages, but there the rain is also welcome.

"I know it had a lot of folks worried, but it certainly will help us," he said.

Beryl was expected to bring 4 to 8 inches of rain to parts, with some areas getting as much as a foot. Forecasters said the storm surge and high tide could bring 2 to 4 feet of flooding in northeastern Florida and Georgia, and 1 to 2 feet in southern South Carolina.

Officials reported no serious injuries, but the Coast Guard said crews in Charleston Harbor in South Carolina rescued three people and a dog from a sinking recreational vessel late Sunday morning.

Yemen: US drone strike kills 5 militants

(AP) ? A U.S. drone strike Monday aiming for an al-Qaida leader has killed five militants in the country's south as part of a Yemeni offensive against the Islamist group, Yemeni officials said.

They said the airstrike targeted Qaid al-Dahab, a local leader of al-Qaida, in a convoy of three cars near the town of Radda, 160 kilometers (100 miles) south of the capital, Sanaa. Four militants were wounded. The officials said al-Dahab's fate was not yet known.

Al-Dahab's sister was the wife of Anwar al-Awlaki, the U.S.-born radical militant cleric killed by a U.S. drone strike last fall.

There was no immediate word from Washington on the strike that targeted al-Dahab.

On Sunday, U.S. Defense Secretary Leon Panetta defended drone strikes in Yemen as a measure "to defend and protect the United States of America." He was interviewed by the American ABC TV network.

Al-Qaida's branch in Yemen, known as al-Qaida in the Arabian Peninsula, is one of the movement's most dangerous offshoots. The U.S. considers the impoverished country as a key battleground in the war against al-Qaida.

The terror network has had a presence in Yemen for years, but expanded its influence during last year's political upheaval when millions of Yemenis rallied across the country demanding the ouster of their longtime ruler, Ali Abdullah Saleh. The militant group seized control of several towns in the south during the turmoil.

Earlier this year, al-Dahab's brother, Tariq, led militants who stormed and briefly occupied Radda, They pulled out after authorities released 15 of his men from jail. Tariq was later killed in a family feud.

Later Monday, Yemen officials said seven other al-Qaida militants were killed in southern Yemen, but they disagreed over how they died. Security officials said they were killed in an airstrike, but the military said they were hit by a missile fired from a ship off Yemen's shore. Local tribal officials said the seven militants were in two cars.

Yemen's army is pushing an offensive to uproot al-Qaida-linked militants from their strongholds in the south. The U.S. is aiding the operations. Panetta said its activities "don't necessarily involve boots on the ground," according to a transcript of the interview on the ABC website.

In their offensive, Yemeni government troops have retaken most of a southern provincial capital from al-Qaida fighters.

The officials said Monday that the army holds 90 percent of Zinjibar, the capital of Abyan province, which fell to al-Qaida last year. They say 48 hours of fierce fighting left 22 militants and nine soldiers dead.

They said the army was advancing toward Jaar, another town in militant hands for over a year, in a three-pronged attack supported by heavy artillery shelling and air raids.

The officials spoke on condition of anonymity in line with military regulations.

Lamar United Methodist Church Youth Group prepares for mission trip

?The Lamar United Methodist Church Youth Group is preparing for a mission trip the group will be going on in early July.? The mission will begin on Sun. July 1, 2012 and continue throughout the first week of July.
??? Eight kids and three adult sponsors will be traveling to Daytona Beach Fla. on a mission trip through the organization Youth Works which is a nationwide Christian mission organization with missions in 72 different locations in the U.S. Canada and Puerto Rico.
??? The kids will be doing a series of fundraisers throughout the spring and early summer until they leave for their mission.? The group will be selling soda and snacks at most double-header high-school baseball games.? As well the group will be holding a fundraiser on Sun. April 1, 2012.? (WMC-TV) - Next weekend, my wife and I take our?daughter on her first "official" college visit.? Even as I write that sentence, I feel like I'm writing a work of fiction.

But it's a fact.?I'm three sport seasons away from weekend tailgating at my daughter's future alma mater.

Dean Junkans, chief investment officer for Wells Fargo, understands. Being an investment banker, his vision is more about my daughter's graduation day than about Game Day.

He shared 12 tips?that ought to make things easier for college grads headed into?the workforce:

Chapman takes 5-stroke lead at Senior PGA

BENTON HARBOR, Mich. (AP) ? Roger Chapman arrived at Harbor Shores this week a virtual unknown.

The highlight of his career was probably a victory in Brazil ? a dozen years ago. Even overseas, Chapman is hardly a star. The Englishman plays on the European Senior Tour, which has held only one tournament this year and is pressed for sponsors.

Now Chapman is one round from a surprising victory at the Senior PGA Championship. After shooting a 7-under 64 on Saturday, he's not only leading, he's threatening to rout the rest of the field. Chapman leads John Cook by five strokes heading into to what could be a sweltering Sunday finish.

"Hopefully, if all goes well tomorrow, maybe we can attract a few more sponsors and hopefully get our purses up," Chapman said.

Chapman finished the day at 14-under par. Cook began the round tied with Chapman for the lead, but couldn't keep pace and settled for a 69 to drop into second place.

"It felt like I shot a hundred compared to Roger," Cook said. "He played phenomenal. He had it. It was a pleasure to watch."

Chapman's 54-hole score of 199 tied the tournament record set by Sam Snead in 1973, although Snead was 17 under when he set the mark.

Steve Pate had a 67 to join 66-year-old Hale Irwin at 7 under. Irwin made a triple bogey on the par-3 fourth, but played well on the back nine and shot 69.

Chapman beat Padraig Harrington in a playoff to win a European Tour event in Brazil in 2000. He has never won on the Champions Tour. He made the cut in all 11 of his Champions Tour starts last year, but didn't have a top-10 finish.

After leaving the main European Tour, he spent some time as a rules official. He's playing in the Senior PGA for the fourth time, and his best finish was a tie for 27th last year.

The 53-year-old Chapman tied for 16th a couple weekends ago at the Mallorca Open ? the European Senior Tour's lone event so far this season.

He'll have one more challenge this weekend. The temperature is expected to reach 90 degrees Sunday, when the final round is played.

Chapman began to pull away from the field on the front nine Saturday. While Irwin was making a six on No. 4, Chapman rolled in his second birdie of the day to move to 9 under.

On the par-5 fifth, Chapman's second shot went into the rough to the left of the fairway. He calmly pitched out onto the green, giving himself a birdie putt pin high from about 25 feet, which he made.

Even his lone bogey was impressive in its own way. On the par-4 seventh, Chapman's drive went through the fairway, and he needed two hacks to get the ball out of some tall grass. But he was then able to pitch to within about 10 feet, and he made the putt to prevent further damage.

"It was just one of those days, where I think it's the best iron play I've ever played in my career," Chapman said. "It was pretty special."

After making the turn at 9 under, Chapman birdied Nos. 10, 11 and 12 on his way to a 30 on the back nine. He hit several impressive approach shots, leaving himself birdie putts of 3 feet on No. 11 and about a foot on the par-4 14th. He made another 3-foot birdie putt on No. 16, then parred the last two holes.

Irwin shot a 66 on Friday to put himself in contention despite mediocre putting. He would've had a similar round Saturday if not for trouble at No. 4.

His tee shot missed to the left, where the green is protected by a wetland area. After going back to the drop zone, Irwin pitched onto the green, but then he three-putted from roughly the same distance as Chapman's birdie putt.

"I just pulled it," Irwin said. "I hit up on top of the bank and it rolled down in the water, and went to the drop zone and hit it on and three-putted for a six. It's pretty easy to do when you stop and think about it, especially the way I'm putting."

Play was delayed about three hours at the start of the third round on a wet morning. Warmer air is expected to hit Benton Harbor from the south Sunday.

Soul legend Bobby Womack has been given the all-clear after undergoing cancer surgery on his colon.

The 69-year-old singer/songwriter was diagnosed with the early stages of colon cancer in March, but it appears he has beaten the disease - just weeks before the release of his first studio album in 18 years, "The Bravest Man in the Universe".

A post on the Across 110th Street singer's Facebook.com reads, "We're delighted to announce that Bobby Womack has successfully undergone surgery for suspected colon cancer.

"A tumor was removed last night which turned out to be cancer free. We wish him all the best in his recovery from the operation. Thank you for all your kind messages and support."

Womack has previously battled prostate cancer.

Lenovo ThinkPad Tablet Gets Android 4.0 Update (in Some Regions)

Lenovo ThinkPad is a blast from the past, since late last year we got to review it and we weren?t too happy with the product. It was clunky, bulky, had useless physical buttons and a stylus that was way too big for its own good. Now the device gets Android 4.0, apparently only in some regions of the world.

In a comment on the Lenovo forums there was a company representative saying that the UK and WE versions of the update will ve arriving over the air right about now and US certification is scheduled for June 8th. The rest of the world will have to wait a month or so after that. Meanwhile, members of the forum reported receiving the update early and they claim that it improves lots of things, like the GPS, also speed increases and it gets compatibility with Chrome Beta for Android, among others.

I wonder if there will be a special suite for the stylus on board, like the one Samsung offered for the Galaxy Note once Android 4.0 came. From what I remember the ThinkPad had a very cool handwriting recognition function. Could that evolve into something more?

(AP) ? French President Francois Hollande for the first time provided details of his plan to pull France's combat troops out of Afghanistan by the end of the year, saying Friday he would leave around 1,400 soldiers behind to help with training and logistics.

The new French leader, making good on one of the major foreign-policy promises of his campaign, confirmed in a one-day visit to Afghanistan that all of France's 2,000 combat troops would be brought home by the end of this year ? putting France on a fast-track exit timetable that sparked consternation among some allies at a NATO summit in Chicago early this week.

Hollande's comments marked the first time that he had put an exact figure on the French deployment after the combat troops leave, suggesting that logistical necessities for France as well as its support for Afghanistan's hoped-for transition to peace will go well beyond the year-end target.

"The time for Afghan sovereignty has come," Hollande said during a meeting with French troops at a base in Kapisa province's Nijrab district. "The terrorist threat that targeted our territory, while it hasn't totally disappeared, is in part lessened."

Hollande, who took office last week, said that after more than a decade in Afghanistan, French combat troops had carried out their mission and it was time for them to leave in an early pullout coordinated with the United States and other allies. He said some trainers would remain to help Afghanistan's nascent security forces. NATO has set a pullout date of 2014, when Afghan troops are to take over security control.

The French leader met with troops and discussed plans with Afghan President Hamid Karzai to withdraw French combat troops two years faster than NATO's 2014 pullout schedule. Hollande's visit was not announced ahead of time for security reasons.

France now has 3,400 troops and 150 gendarmes in Afghanistan. Under Hollande's plan, some would stay behind to help send military equipment back to France, and others would help train the Afghan army and police. He did not provide a breakdown for the roles of the 1,400 soldiers who will remain past 2012 or how long they would stay.

"We won't have any more combat forces in Afghanistan after Dec. 31, 2012. I say specifically combat forces," Hollande said during a function at the French Embassy. "We will still have a military force that will be dedicated to the training of Afghan army officers ? that will also be present at the hospital, the airport and also will allow the Afghans to have a police force that is the most effective possible."

Hollande insisted France was not abandoning Afghanistan.

"This is a continuation, and there will be further engagement ? but in a different form," he said, such as in cultural and economic matters. "We want France to have a presence in Afghanistan differently from how it did in the past."

France has troops in the capital Kabul, in the Surobi district and Kapisa province to the east, and at Kandahar air base in the south ? where it has three fighter jets. A French military spokesman, Col. Thierry Burkhard, said most of the 2,000 who will leave will be those in Kapisa and Surobi. He said "hundreds" of trainers would remain, and soldiers conducting pullout logistics will leave bit by bit along with the withdrawing troops.

Hollande warned of possible problems in the pullout. "We will have to take every precaution. We must limit as much as possible our losses, make sure that there is no risk for our soldiers," he said.

Hollande said French equipment would be taken out by ground routes, but he did not say which ones. Pakistan closed overland supply routes to Afghanistan for NATO after a U.S. attack on the Pakistani side of the border killed 24 Pakistani soldiers last November. The decision has forced NATO to use a more costly route running through the north.

Reflecting increasing French disillusionment with the war, Hollande's conservative predecessor, Nicolas Sarkozy, had pledged to withdraw all troops by the end of 2013. Tension over Hollande's pledge to end France's combat mission a year earlier than that dominated the NATO summit, unleashing fears of a domino effect of other allies withdrawing early. France is one of the top troop contributors.

Hollande's campaign platform had first indicated that all French troops would be out of Afghanistan by then end of 2012, but in the late stages of the race he softened that to specify only combat troops. Guy Teissier, a lawmaker from Sarkozy's party who heads the defense commission of the National Assembly, pointed to a "contradiction" between Hollande's campaign rhetoric and his withdrawal plan after his election.

Teissier also said the quick pullout would expose French troops. "Once the combat troops are gone, who's going to protect the 1,000-odd soldiers responsible for bringing home the equipment we've left behind?" he said on BFM Television. "It's a very big risk for our soldiers ... It leads me to believe that Francois Hollande doesn't understand defense matters and world geopolitics."

"France gave its word to a commitment of the (NATO-led) coalition, and taking it back weakens it," he added.

President Barack Obama last year decided to pull out 33,000 U.S. combat troops by September. Gen. John Allen, the top U.S. and NATO commander in Afghanistan, said this week that on Sept. 30 there will be 68,000 U.S. and about 40,000 other coalition forces in Afghanistan ? compared to more than 130,000 last year.

The coalition has started handing over security control to Afghan army and police in areas home to 75 percent of the population, with a goal of putting them in the lead for all the country by mid-2013. NATO and other foreign forces would then be in a support role for the 352,000-strong Afghan National Security Forces.

Kapisa, where French forces are based, is one of the areas now being transferred to Afghan control. Ashraf Ghani, head of a commission overseeing the transition, said earlier this month that "the risks in Kapisa are containable and within our capability."

(AP) ? Profits at big U.S. companies broke records last year, and so did pay for CEOs.

The head of a typical public company made $9.6 million in 2011, according to an analysis by The Associated Press using data from Equilar, an executive pay research firm.

That was up more than 6 percent from the previous year, and is the second year in a row of increases. The figure is also the highest since the AP began tracking executive compensation in 2006.

Companies trimmed cash bonuses but handed out more in stock awards. For shareholder activists who have long decried CEO pay as exorbitant, that was a victory of sorts.

That's because the stock awards are being tied more often to company performance. In those instances, CEOs can't cash in the shares right away: They have to meet goals first, like boosting profit to a certain level.

The idea is to motivate CEOs to make sure a company does well and to tie their fortunes to the company's for the long term. For too long, activists say, CEOs have been richly rewarded no matter how a company has fared ? "pay for pulse," as some critics call it.

To be sure, the companies' motives are pragmatic. The corporate world is under a brighter, more uncomfortable spotlight than it was a few years ago, before the financial crisis struck in the fall of 2008.

Last year, a law gave shareholders the right to vote on whether they approve of the CEO's pay. The vote is nonbinding, but companies are keen to avoid an embarrassing "no."

"I think the boards were more easily shamed than we thought they were," says Stephen Davis, a shareholder expert at Yale University, referring to boards of directors, which set executive pay.

In the past year, he says, "Shareholders found their voice."

The typical CEO got stock awards worth $3.6 million in 2011, up 11 percent from the year before. Cash bonuses fell about 7 percent, to $2 million.

The value of stock options, as determined by the company, climbed 6 percent to a median $1.7 million. Options usually give the CEO the right to buy shares in the future at the price they're trading at when the options are granted, so they're worth something only if the shares go up.

Profit at companies in the Standard & Poor's 500 stock index rose 16 percent last year, remarkable in an economy that grew more slowly than expected.

CEOs managed to sell more, and squeeze more profit from each sale, despite problems ranging from a downgrade of the U.S. credit rating to an economic slowdown in China and Europe's neverending debt crisis.

Still, there wasn't much immediate benefit for the shareholders. The S&P 500 ended the year unchanged from where it started. Including dividends, the index returned a slender 2 percent.

Shareholder activists, while glad that companies are moving a bigger portion of CEO pay into stock awards, caution that the rearranging isn't a cure-all.

For one thing, companies don't have to tie stock awards to performance. Instead, they can make the awards automatically payable on a certain date ? meaning all the CEO has to do is stick around.

Other companies do tie stock awards to performance but set easy goals. Sometimes, "they set the bar so low, it would be difficult for an executive not to trip over it," says Patrick McGurn, special counsel at Institutional Shareholder Services, which advises pension funds and other big investors on how to vote.

And for many shareholders, their main concern ? that pay is just too much, no matter what the form ? has yet to be addressed.

"It's just that total (compensation) is going up, and that's where the problem lies," says Charles Elson, director of the Weinberg Center for Corporate Governance at the University of Delaware.

The typical American worker would have to labor for 244 years to make what the typical boss of a big public company makes in one. The median pay for U.S. workers was about $39,300 last year. That was up 1 percent from the year before, not enough to keep pace with inflation.

Since the AP began tracking CEO pay five years ago, the numbers have seesawed. Pay climbed in 2007, fell during the recession in 2008 and 2009 and then jumped again in 2010.

To determine 2011 pay packages, the AP used Equilar data to look at the 322 companies in the S&P 500 that had filed statements with federal regulators through April 30. To make comparisons fair, the sample includes only CEOs in place for at least two years.

Among the AP's other findings:

? David Simon, CEO of Simon Property, which operates malls around the country, is on track to be the highest-paid in the AP survey, at $137 million. That was almost entirely in stock awards that could eventually be worth $132 million. The company said it wanted to make sure Simon wasn't lured to another company. He has been CEO since 1995; his father and uncle are Simon Property's co-founders.

This month, Simon Property's shareholders rejected Simon's pay package by a large margin: 73 percent of the votes cast for or against were against.

But the company doesn't appear likely to change the 2011 package. After the shareholder vote, it released a statement saying that "we value our stockholders' input" and would "take their views into consideration as (the board) reviews compensation plans for our management team." But it also said that Simon's performance had been stellar and it needed to pay him enough to keep him in the job.

Simon's paycheck looks paltry compared with that of Apple CEO Tim Cook, whose pay package was valued at $378 million when he became CEO in August. That was almost entirely in stock awards, some of which won't be redeemable until 2021, so the value could change dramatically. Cook wasn't included in the AP study because he is new to the job.

? Of the five highest-paid CEOs, three were also in the top five the year before. All three are in the TV business: Leslie Moonves of CBS ($68 million); David Zaslav of Discovery Communications, parent of Animal Planet, TLC and other channels ($52 million); and Philippe Dauman of Viacom, which owns MTV and other channels ($43 million).

? About two in three CEOs got raises. For 16 CEOs in the sample, pay more than doubled from a year earlier, including Bank of America's Brian Moynihan (from $1.3 million to $7.5 million), Marathon Oil's Clarence Cazalot Jr. (from $8.8 million to $29.9 million) and Motorola Mobility's Sanjay Jha (from $13 million to $47.2 million).

? CEOs running health-care companies made the most ($10.8 million). Those running utilities made the least ($7 million).

? Perks and other personal benefits, such as hired drivers or personal use of company airplanes, rose only slightly, and some companies cut back, saying they wanted to align their pay structure with "best practices."

Military contractor General Dynamics stopped paying for country club memberships for top executives, though it gave them payments equivalent to three years of club fees to ease "transition issues" caused by the change.

The typical pay of $9.6 million that Equilar calculated is the median value, or the midpoint, of the companies used in the AP analysis. In other words, half the CEOs made more and half less.

To value stock awards and stock options, the AP used numbers supplied by the companies. Those figures are based on formulas the companies use to estimate what the stock and options will eventually be worth when a CEO receives the stock or cashes in the options.

Stock awards are generally valued based on the stock's current price. Stock options are valued using company estimates that take into account the stock's current price, how long until the CEO can cash the options in, how the stock price is expected to move before then, and expected dividends. Estimates don't generally take inflation into account.

The shift to stock awards is at least partly rooted in what is known as the Dodd-Frank law, passed in the wake of the financial crisis, which overhauled how banks and other public companies are regulated.

Beginning last year, Dodd-Frank required public companies to let shareholders vote on whether they approve of the top executives' pay packages. The votes are advisory, so companies don't have to take back even a penny if shareholders give them the thumbs-down. But shame has proved a powerful motivator.

It got Hewlett-Packard to change its ways. After an embarrassing "no" vote last year on the 2010 pay packages, including nearly $24 million for ousted CEO Mark Hurd, the company huddled with more than 200 investment firms and major shareholders, then threw out its old pay formula. New CEO Meg Whitman is getting $1 a year in salary and no guaranteed bonus for 2011. Nearly all her pay is in stock options that could be worth $16 million, but only if the share price goes up.

Other companies took notice, too. Last year, shareholders rejected the CEO pay packages at Janus Capital, homebuilder Beazer Homes and construction company Jacobs Engineering Group. All won approval this year after the companies made the packages more palatable to shareholders.

To be sure, shareholders aren't voting en masse against executive pay. Instead, they seem to be saving "no" votes for the executives they deem most egregious.

Of more than 3,000 U.S. companies that held votes in 2011, only 43 got rejections, according to ISS. But the mere presence of the "say on pay" vote is triggering change, shareholder activists say.

"Companies that have gone through that trial by fire don't want to go through it again," says McGurn, the ISS special counsel.

Even Chesapeake Energy, a company perennially in the cross-hairs of corporate-governance activists, is bowing to pressure. The company has drawn fire for showering CEO Aubrey McClendon with assorted goodies. In addition to handing him big pay packages ? $17.9 million for 2011 ? Chesapeake in recent years has spent millions sponsoring the NBA's Oklahoma City Thunder, which he partially owns, paying him for his collection of antique maps and letting him buy stakes in company wells.

Last year, shareholders of the natural gas producer passed the proposed 2010 pay package but by a low margin, 58 percent. This year, with shareholder pressure mounting, the board has ended some of McClendon's perks and stripped him of his title as chairman. A lawsuit settlement is forcing him to buy back his $12 million worth of maps.

After losing the chairman job, McClendon issued a statement saying the demotion "reflects our determination to uphold strong corporate governance standards." Chesapeake will seek shareholder approval for McClendon's 2011 pay at its annual meeting in June.

So far, Citigroup is the highest-profile company to have its pay package rejected this year. The bank planned to pay CEO Vikram Pandit about $15 million for his work last year, noting that he had returned the company to profitability in 2010 and worked for $1 that year. Shareholders, who watched the stock price plunge 44 percent in 2011 (after adjusting for a reverse stock split) weren't so forgiving.

It's usually around January that boards decide how much to pay a CEO for the previous year. Then they inform shareholders and ask for their vote in the spring ? usually after the cash portion has already been handed out. For Pandit, that meant he had already received $7 million in salary and cash bonus by the time shareholders voted against his pay.

In a statement, Citi said it took the vote seriously and planned to "carefully consider" the input of major shareholders. It hasn't given more specifics. Richard Parsons, who retired as Citi's chairman after the April annual meeting, as previously planned, said after the vote that the board should have done a better job explaining to shareholders how it determined CEO pay.

Another big change is that more companies are giving themselves the right to take back a top executive's pay from previous years if they determine that the executive acted inappropriately to inflate the company's financial results.

The Dodd-Frank overhaul will eventually require public companies to include such broad "claw back" provisions, which will expand on narrowly written rules from a decade ago. But companies aren't waiting. In a separate study, Equilar found that 84 percent of Fortune 100 companies now include claw backs in their executive pay packages, up from 18 percent in 2006.

Last year, the former CEO of Beazer Homes agreed with regulators, who cited the older claw back rules, to turn over $6.5 million he had earned when profits were inflated. In February, UBS took back half of the previous year's bonuses awarded to many investment bankers because of subsequent losses in the unit.

Picking the right mix of incentives is partly just guesswork, and sometimes the results are simply a force of serendipity. Stocks can get swept up in rising or falling markets, so the fortunes of CEOs with well-designed pay packages can reflect luck ? good or bad ? not just managerial skills.

In February 2009, James Rohr, the head of PNC Financial Services, was granted options that allowed him to buy shares in the future at the then-current price, which had fallen 62 percent in five months on its way to a 17-year low the next month.

The stock has since doubled, and the options, mostly based on hitting certain profit and cost-cutting goals, are worth more than $20 million in paper profit, according to research by GMI Rating, a corporate governance watchdog. If investors had bought PNC stock just before the financial crisis in 2008, they would still be down more than a fifth.

Luck, of course, can cut both ways. Rohr is still waiting to cash in options granted in 2007, valued then at $2.5 million, when the stock was 18 percent higher than it is today.

Some shareholder groups doubt that ever-higher CEO pay, ingrained as it is in the corporate psyche, will ever be refashioned dramatically enough to satisfy shareholders and consumer groups who see the paychecks as too big, too disconnected from performance, and set by wealthy directors who are oblivious to the way that most of their shareholders live.

"I hope we have seen the last of this," says Rosanna Weaver of the CtW Investment Group, which works on shareholder issues with union-sponsored pension funds and has lobbied against CEO pay packages at a number of companies. "But I would be very surprised, just given what I know of human nature, let alone what I know of the financial markets."

Still, she's encouraged by the change that has already been stirred.

"It's a very big task," Weaver says. "I still believe it is worth trying."
